The choice of form depends on the type of activity, the number of founders, turnover and business growth plans.

d.o.o. — limited liability company

The main option for foreign founders. Founders are generally not liable for the company's obligations with their personal assets. The company can hire employees, sign contracts and work with clients in Slovenia and other countries.

s.p. — sole proprietor

Not a separate legal entity; no share capital required. For foreign nationals, s.p. is not always an available alternative to a d.o.o. — it can only be opened after 12 months of residence in Slovenia.

Branch of a foreign company

Suits companies that already operate outside Slovenia and want to open a local division. If the parent company is registered outside the EU, it must have existed for at least three years.

Corporate income tax

22% (the rate is raised for 2024–2028 to deal with the consequences of the flooding). Certain organisations, such as charitable foundations and associations, may be exempt.

Frequently asked questions

How does opening a company work? +
The process is set by the Companies Act (Zakon o gospodarskih družbah, ZGD-1): the founder chooses a unique name, prepares the documents, pays in the share capital and registers the company at AJPES or with a notary.
How long does company registration take? +
From the moment the documents are filed, registration takes 10–14 days, after which the company appears in Slovenia's open company database (bizi.si).
How much share capital is needed? +
At least €7,500 — the amount stays in the company's account and can be used for its ongoing activity.
What are the options for paying in the share capital? +
In cash into a temporary account, or in kind — equipment, office equipment, real estate, a car, and so on. The appraised value must be at least €7,500.
Can I open a company in Slovenia remotely? +
Yes, registration is done on the basis of a power of attorney from the client — you do not need to travel to Slovenia.
Is company registration a ground for a residence permit? +
No, Slovenian law has no such ground. To get a permit you need to be employed by the company and obtain a work authorisation — for example, as an employee of your own firm.
